By submitting any press release (the “Press Release”) to Red Press Wire, LLC, a Florida Limited Liability Company (“Media Company”), the submitting party agrees to indemnify, defend, and hold harmless Media Company and its parents, subsidiaries, affiliates, successors, and assigns, and each of their respective directors, officers, employees, agents, contractors, licensees, and representatives (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, suits, proceedings, liabilities, losses, damages, judgments, fines, penalties, settlements, costs, and expenses, including reasonable attorneys’ fees and court costs (collectively, “Claims”). This includes, without limitation, any allegation that a Press Release, or any portion thereof, contains defamatory, libelous, or slanderous statements; infringes, misappropriates, or violates any copyright, trademark, trade name, trade secret, right of publicity, right of privacy, or other proprietary or personal right of any third party; or violates any applicable law, regulation, or industry rule. The indemnity above applies to Claims whether asserted against an Indemnified Party alone or jointly with the submitter or others, and whether such Claims are actual or alleged, threatened, or pending.

Media Company reserves the sole and absolute right, in its discretion, to refuse, reject, remove, or decline to distribute any Press Release that it believes may contain defamatory, libelous, or otherwise potentially unlawful content, including language directed toward or about third parties. By submitting content, the submitter acknowledges full responsibility for the legality, accuracy, and rights clearance of all materials provided to Media Company.
